ApexPace - Terms of Service

BY DOWNLOADING, INSTALLING, OR USING THE SERVICE, OR BY CLICKING "I AGREE", YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY.

1. Description of Service
ApexPace ("Service") is a tool designed to assist users in estimating training outcomes.

2. Important Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
You use the Service entirely at your own risk. The information provided by the Service is ESTIMATES ONLY.
It IS NOT medical advice. Always consult a physician before beginning any exercise program.

3. Subscriptions and Cancellation

3.1. Payments, Immediate Billing, and Automatic Renewal All payments and any potential refunds are processed through the Google Play store in accordance with its terms.

Immediate Billing: By selecting and confirming a subscription plan, you agree to pay the price shown within the Service immediately. You acknowledge that there is no free trial period and that your payment method will be charged at the time of purchase.

Recurring Billing: You acknowledge that the subscription includes recurring payment features. You authorize the Google Play store to charge your selected payment method (e.g., monthly, annually) on a recurring basis without further authorization from you, until you affirmatively cancel the subscription. The subscription renews automatically at the end of each billing period.

3.2. Refunds Since the Service offers digital content that is available immediately upon purchase, all sales are generally final. Refunds are not provided for partial billing periods unless required by Google Play's refund policies or applicable local law.

3.3. Cancellation Process (via Google Play) You may cancel your subscription at any time. To avoid being charged for the next billing cycle, you must cancel at least 24 hours before the end of the current billing period.

You must manage and cancel your subscription directly through your Google Play account settings. A link to the Google Play Subscription Center is typically available within the Service's settings page, but the cancellation must be finalized within Google Play.

PLEASE NOTE: UNINSTALLING THE SERVICE (THE APP) FROM YOUR DEVICE WILL NOT CANCEL YOUR SUBSCRIPTION.

4. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FELLCODE, ITS OWNER, OR DEVELOPERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS OR DATA.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THIS AGREEMENT EXCEED THE AMOUNT YOU HAVE PAID US FOR THE SERVICE DURING THE LAST TWELVE (12) MONTHS, OR ONE HUNDRED UNITED STATES DOLLARS ($100.00), WHICHEVER IS GREATER.

5. DISPUTE RESOLUTION BY BINDING ARBITRATION
PLEASE READ THIS SECTION CAREFYLLY, AS IT AFFECTS YOUR RIGHTS.
IT REQUIRES YOU TO RESOLVE ALL DISPUTES WITH US THROUGH BINDING, INDIVIDUAL ARBITRATION.
You and FellCode agree that any claim or dispute arising from or related to these Terms or the use of the Service ("Dispute") shall be finally and bindingly resolved by arbitration under the Rules of Arbitration of the International Chamber of Commerce (ICC).
The seat of arbitration shall be Singapore.

6. CLASS ACTION WAIVER
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND FELLCODE AGREE THAT ALL CLAIMS AGAINST THE OTHER PARTY SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS PART OF ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

7. Governing Law and Venue

These Terms and any Disputes arising therefrom shall be governed by the laws of the State of Delaware, USA, without regard to its conflict of law provisions.

Unless otherwise stipulated in Section 5, all Disputes shall be adjudicated in the state or federal courts located in New Castle County, Delaware.

8. General Terms
Changes to Terms: We reserve the right to modify these Terms. We will provide notice of significant changes through the application. If we make changes to subscription pricing, we will provide you with reasonable advance notice. If you do not agree to the new price, you may cancel your subscription before the price change takes effect.

9. Termination: You may terminate these Terms by uninstalling the Service. We may terminate your access if you violate these Terms.
